Terms of Service for Nordic Poultry House

1. Introduction and Acceptance of Terms
These Terms of Service ("Terms") govern your access to and use of the products and services offered by Nordic Poultry House, with its registered business address at Nordic Poultry House, Islands Brygge 43, 2300 København S, Denmark ("we", "us", "our", or the "Service Provider"). By placing an order, entering into a supply agreement, using our services, or otherwise dealing with us, you acknowledge that you have read, understood, and agree to be bound by these Terms.
If you do not agree to these Terms, you must not place orders or use our services. Where you act on behalf of a company, restaurant, catering business, or other legal entity, you confirm that you have authority to bind that entity to these Terms.
2. Scope of Services
Nordic Poultry House supplies poultry products and related services, including but not limited to:
- Fresh whole chicken supply;
- Chicken cuts and portions;
- Marinated chicken products;
- Bulk supply for restaurants and caterers;
- Custom order preparation; and
- Cold storage and refrigerated delivery.
All products are subject to availability, seasonal supply, production capacity, and applicable food safety and veterinary regulations. We reserve the right to refuse or limit orders where necessary for quality control, compliance, logistics, or capacity reasons.
Any product descriptions, weights, packaging details, delivery windows, or lead times provided by us are indicative unless expressly confirmed in writing as binding.
3. User Obligations and Responsibilities
You agree to:
- Provide accurate, complete, and up-to-date information when placing orders or requesting services;
- Ensure that orders are suitable for your intended use, including storage, handling, preparation, and consumption;
- Comply with all applicable laws and regulations, including food hygiene, traceability, labeling, and temperature control requirements;
- Inspect products promptly upon delivery and notify us without undue delay of any visible defects, shortages, or transport issues;
- Maintain appropriate refrigeration and food safety conditions after delivery or collection;
- Not resell, redistribute, or misuse products in a manner contrary to law or public health requirements; and
- Ensure that any special requests, including custom cuts, marinades, allergen-related instructions, or delivery requirements, are communicated clearly and in advance.
You are responsible for ensuring that end users, employees, and third parties handling the products are properly trained in safe food handling practices.
4. Payment Terms and Conditions
Unless otherwise agreed in writing, prices are stated in Danish kroner (DKK) and may be subject to VAT and other applicable taxes. Prices may vary depending on product type, quantity, packaging, delivery method, cold storage requirements, and order urgency.
Payment terms will be specified in the relevant order confirmation, invoice, or supply agreement. In the absence of a specific written agreement, invoices are payable within 14 days from the invoice date.
If payment is not received by the due date, we may:
- Charge statutory interest and recovery fees in accordance with applicable Danish law;
- Suspend further deliveries or services until outstanding amounts are paid; and/or
- Require advance payment or security for future orders.
We reserve the right to correct pricing errors, typographical mistakes, or obvious inaccuracies. Any such correction will be communicated as soon as reasonably practicable.
5. Cancellation and Refund Policy
Because our business involves perishable poultry products and custom preparation, cancellations and refunds are subject to strict conditions.
- Standard orders: Cancellations must be made before processing, packing, or dispatch begins. Once preparation has started, cancellation may be refused or subject to a charge.
- Custom orders and bulk orders: Orders prepared to your specifications, including custom cuts, marinated products, or tailored restaurant/catering supply, may not be cancellable once confirmed.
- Perishable goods: Due to the nature of fresh and refrigerated products, refunds are generally only available where products are defective, incorrectly supplied, or delivered in a condition that does not meet agreed specifications, and where the issue is reported promptly.
- Delivery issues: If a product is damaged in transit or delivered in the wrong quantity, you must notify us as soon as possible and in any event without undue delay after delivery.
Where a refund or replacement is approved, we may, at our discretion and subject to applicable law, offer replacement products, credit notes, partial refunds, or other reasonable remedies. Nothing in these Terms limits any mandatory consumer rights under Danish law where applicable.
6. Liability Limitations
We provide our products and services with reasonable care and skill and in accordance with applicable Danish food safety and business regulations. However, to the maximum extent permitted by law:
- We are not liable for indirect, incidental, special, or consequential losses, including loss of profit, loss of business, loss of goodwill, or loss of opportunity;
- We are not liable for losses arising from improper storage, handling, preparation, or consumption after delivery or collection;
- We are not liable for delays or failures caused by events outside our reasonable control, including transport disruptions, supplier shortages, or regulatory actions;
- Our total liability for any claim arising out of or in connection with a specific order shall be limited to the amount paid for that order, except where liability cannot be limited under mandatory law.
Nothing in these Terms excludes or limits liability for fraud, wilful misconduct, gross negligence, or any liability that cannot lawfully be excluded under Danish law.
7. Intellectual Property Rights
All content made available by Nordic Poultry House, including text, product descriptions, logos, photographs, labels, packaging designs, documents, and other materials, is protected by intellectual property laws and remains our property or the property of our licensors unless otherwise agreed in writing.
You may not copy, reproduce, modify, distribute, publish, or commercially exploit our intellectual property without our prior written consent, except to the extent necessary for lawful use of our services or as permitted by mandatory law.
8. Data Protection and Privacy
We process personal data in accordance with the General Data Protection Regulation (GDPR), the Danish Data Protection Act, and other applicable privacy laws. Personal data may include contact details, order history, delivery information, payment information, and communication records.
We use personal data for purposes including:
- Processing and fulfilling orders;
- Managing customer relationships and account administration;
- Handling invoicing, payment, and accounting;
- Complying with legal obligations, including food traceability and tax requirements; and
- Responding to inquiries, complaints, and service requests.
Where required by law, we will provide further information about our data processing practices, including legal bases, retention periods, and your rights of access, rectification, erasure, restriction, objection, and data portability. If you have questions regarding personal data, contact us using the details in Section 12.
9. Force Majeure
We shall not be liable for any delay or failure to perform our obligations where such delay or failure results from events beyond our reasonable control, including but not limited to fire, flood, extreme weather, epidemic or pandemic events, war, terrorism, strikes, labor disputes, transport interruptions, power failures, equipment breakdown, supplier shortages, government restrictions, or changes in law.
In such circumstances, we may suspend performance for the duration of the force majeure event and will use reasonable efforts to mitigate its effects and resume performance as soon as practicable.
10. Changes to Terms
We may update or amend these Terms from time to time to reflect changes in our services, legal requirements, operational practices, or commercial conditions. The updated Terms will take effect from the date stated in the revised version, unless otherwise required by law.
Where changes are material, we will take reasonable steps to notify affected customers in advance. Continued use of our services or placement of new orders after the effective date of the updated Terms constitutes acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Denmark.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the competent courts of Denmark, unless mandatory consumer protection rules provide otherwise. If you are a business customer, the courts of Copenhagen shall have venue, unless otherwise required by mandatory law.

13. Severability Clause
If any provision of these Terms is held to be invalid, unlawful, or unenforceable by a court or competent authority, that provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms.
The remaining provisions shall continue in full force and effect. Any invalid or unenforceable provision shall, to the extent permitted by law, be replaced by a valid provision that most closely reflects the original intent of the parties.
